eFrog License

eFrog Plain English License Agreement

No-one likes to have to talk about this stuff. There’s always a document written in that language that looks like English, but actually isn’t (it’s legalese). George doesn’t like it either. George would rather just sit you down over a coffee,  and make an agreement. An honour system-based agreement. Here’s what George would say:

“There are a few things we need to agree on. Let’s get them on the table,  in plain English.”

So, let’s do just that:

Definitions

“You” means the person* or company who is being licensed to use the theme.

“person” means  legal persons, including non-individual clients i.e. Close Corporations, South African companies, foreign companies, listed companies, partnerships and trusts.

“We,” “us” and “our” means eFrog.

“Theme” means all the software, images and documents which make up an eFrog WordPress theme, and includes both “free” and “paid-for” themes.

“non-exclusive” means that we reserve the right to  grant this license to more than one person or company, at the same time.

Protection

The Theme is  protected by  South African copyright laws and international treaties.

Title

We remain the owner of all right, title and interest in the  Theme.

License Grant

We grant  you a non-exclusive license, to use one copy of the Theme, on one computer.  This would be the server, from where your WordPress blog is served, on the Internet.

Things you May Do

You may:

Copy the Theme for back up and archival purposes, as long as the original and each copy is kept in your possession and that your  use of the Theme does not exceed that allowed in the “License Grant” .

Give the Theme to one other person. That person may use the Theme and is bound by the same “License Grant”, but may not gift the Theme, as you may.

Things You May Not Do

You may not:

Sublicense, rent, lease or lend any portion of the Theme, or use any marks owned by us  in any way that might state or imply that you created the Theme.

Redistribute the Theme, or any part of the Theme, including a “free” Theme, or use any marks owned by us in any way that might state or imply that we endorse your distribution, except as allowed for in the “Things you May Do” section.

Place the Theme onto a server, so that it is accessible via a public network such as the Internet, for the purpose of unauthorised distribution or peer-to-peer sharing,

Merge the Theme into another program, theme or software, except as this may happen with the WordPress software, when being used normally.

Term and Termination

This license agreement takes effect when you purchase and download a “paid-for” theme, or download a “free” Theme.

It remains effective until terminated.

You can terminate it at any time.

It will also automatically terminate if you fail to comply with any part of this license agreement.

You agree on termination of this license to destroy all copies of the theme in your possession, as well as any copies which you may have gifted another person, under the allowance in “Things you may do”.

General Provisions

This written license agreement is the exclusive agreement between you and us concerning the Theme and supersedes any prior purchase order, communication, advertising or representation concerning the Theme.

This license agreement may be modified only by a writing signed by you and us.

In the event of litigation between you and us concerning the Theme, the prevailing party in the litigation will be entitled to recover attorney fees and expenses from the other party.

You agree that the Theme will not be shipped, transferred or exported into any country or used in any manner prohibited by South African export laws, restrictions or regulations.

The application of the United Nations Convention on Contracts for the International Sale of Goods, as amended, is expressly excluded.
